Photographer Service Agreement

In accordance with Article 396 of the Civil Code of the Republic of Belarus, a public contract is a type of agreement under which one party undertakes to provide services to any member of an indefinite group of persons who apply for such services.
This public contract does not require execution on paper or signatures of the parties and is legally binding by virtue of the parties’ actions demonstrating their intention to enter into contractual relations. Publication of the text of this Agreement on the official website www.lumi.by constitutes a public offer addressed to an indefinite number of persons (Article 407 of the Civil Code of the Republic of Belarus).
The Agreement is concluded by the Customer’s adhesion to its terms, i.e., by full and unconditional acceptance of this Offer without reservations (Article 398 of the Civil Code of the Republic of Belarus).
This Agreement is a public offer made by the photographer, individual entrepreneur Liudmila Vikol (hereinafter — the Photographer, Contractor), to any individual (hereinafter — the Customer) who accepts this Offer under the terms set out below.
1. DEFINITIONS
- Photograph — a visual image on paper or in digital form, of any format.
- Work — a photograph created by the Photographer.
- Copyright — copyright arises automatically upon creation of the Work and does not require any registration or formalities.
- Photographer — individual entrepreneur Liudmila Vikol, Registration No. NA3410696, whose creative work results in the Work. The Photographer is the author.
- Retouching — post-processing of an image for improvement, stylization, and correction of defects at the Photographer’s discretion.
2. SUBJECT OF THE AGREEMENT
- The Photographer undertakes to create Works as requested by the Customer, and the Customer undertakes to pay the Photographer a fee determined by the selected photography package.
- The Photographer retains all moral and economic copyrights to the Works.
- The Works are provided to the Customer for personal and non-commercial use, unless otherwise agreed in writing.
- The Customer’s request for a photoshoot, made verbally or in writing (including via messengers, email, or website forms), forms an integral part of this Agreement.
- Upon completion, the Photographer notifies the Customer and delivers the final materials within a period not exceeding three months, unless otherwise agreed.
- The Photographer keeps the original image files for 30 calendar days from the date of delivery of the results to the Customer.
3. PAYMENT
- The Customer pays the Photographer for the created Works according to the chosen service package. Prices, terms and package descriptions are published on www.lumi.by and form an integral part of this Agreement.
- Unless otherwise agreed, the Customer shall make a 100% prepayment of the selected package.
4. RIGHTS AND OBLIGATIONS OF THE PARTIES
4.1. The Customer shall:
- arrive at the photoshoot location no later than 15 minutes before the scheduled time;
- provide the Photographer with access and conditions necessary for proper performance, without interference from guests or third parties; otherwise, the Photographer is not responsible for the quality of the resulting images;
- comply with safety rules and venue regulations;
- inform the Photographer about any confidentiality requirements before the photoshoot.
4.2. The Customer may:
- publish the Works (including on social networks and in media) while respecting the Photographer’s copyright and, where possible, indicating the Photographer’s name.
4.3. The Contractor shall:
- provide accurate information about the services offered;
- carry out the photoshoot at a professional level consistent with the Photographer’s portfolio;
- deliver the results within 10–60 working days, unless another term is agreed;
- promptly inform the Customer if circumstances arise that delay or prevent service provision.
4.4. The Contractor may:
- engage third parties to fulfil obligations under this Agreement;
- use the Works in the Photographer’s portfolio, on the website, in social networks, and in advertising materials, unless confidentiality has been agreed in writing;
- provide the Works to third parties involved in the preparation and shooting process (e.g., stylists, stables, studios) for use in their portfolios;
- select and edit images at the Photographer’s discretion and delete images considered unsuitable;
- decline to transfer original RAW files; viewing of original images may be allowed only by separate agreement;
- terminate the photoshoot and demand full payment if the Photographer is insulted by the Customer or related persons, and seek compensation in cases provided by Belarusian law;
- stop providing services if circumstances arise that may cause harm to health, equipment, or personal property.
5. LIABILITY AND PAYMENT TERMS
- The Parties are liable for non-performance or improper performance of their obligations in accordance with the laws of the Republic of Belarus.
- Digital noise, blur, motion blur, or differences in color rendering on various devices do not constitute a defect and are not grounds for a free reshoot or refund.
- Service prices are defined by the Price List on www.lumi.by and may be additionally agreed via personal communication.
- Payment is made in Belarusian rubles in the manner agreed by the Parties.
- If the Customer requires expedited delivery (earlier than the standard 10–14 working days), the Photographer’s fee may be increased by up to 25% by mutual agreement.
- Additional services not agreed in advance are paid for separately by mutual consent.
6. OWNERSHIP AND COPYRIGHT
- The Contractor holds all copyrights and economic rights to the photographs taken on the day of the photoshoot, including the right to reprint and to use them in the Photographer’s advertising and marketing materials, unless confidentiality is separately agreed in writing.
- The Contractor grants the Customer the right to reproduce the photographs for personal use only. When publishing the photographs in print or online, the Customer shall ensure that the Photographer’s name is credited whenever possible.
7. TERM AND AMENDMENT OF THE OFFER
- This Offer becomes effective upon publication on the Contractor’s website and remains valid until revoked or replaced by a new version.
- The Contractor may amend or withdraw the Offer at any time at their discretion. The new version takes effect upon publication on www.lumi.by.
8. FORCE MAJEURE
- The Parties are released from liability for partial or total non-performance of their obligations if such non-performance results from force majeure circumstances that the Parties could not foresee or prevent by reasonable measures (natural disasters, war, acts of public authorities, and other events beyond the Parties’ control).
